Terms of Service

1. Agreement to Terms

By accessing or using Smart Circuit's website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Services

Smart Circuit provides AI-powered automation systems for e-commerce businesses, including:

• Meta Ads automation systems
• Abandoned cart recovery systems
• SEO automation systems
• Newsletter automation systems
• Custom development retainers

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for the delivery of services
• Grant necessary access to your platforms (Shopify, WooCommerce, Meta, etc.) for system setup
• Respond to requests for information or approvals in a timely manner
• Comply with all applicable laws and platform terms of service
• Pay all fees as agreed upon in your service agreement

4. Payment Terms

Productized Systems

One-time setup fees are due upon agreement. Payment is required before work begins unless otherwise agreed in writing.

Monthly Retainers

Retainer fees are billed monthly in advance. The first month's payment is due upon agreement. Subsequent payments are due at the beginning of each billing period.

Ongoing Fees

Some systems include ongoing monthly fees (e.g., SEO automation). These are billed monthly and begin after the initial setup is complete.

5. Refund Policy

We stand behind the quality of our work. If we fail to deliver the agreed-upon system functionality, we will fix it at no additional charge.

Refunds for setup fees may be considered on a case-by-case basis if we determine during our initial discovery that we cannot deliver the expected results. Refunds are not available after a system has been deployed to production.

6. Intellectual Property

Upon full payment, you own the specific configurations and customizations created for your business. However, Smart Circuit retains ownership of:

• Our proprietary systems, frameworks, and methodologies
• Any pre-existing intellectual property used in delivering services
• Generic components that may be used for other clients

7. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the course of the engagement. This includes business data, strategies, technical information, and any other information marked as confidential or that should reasonably be understood to be confidential.

8. Limitation of Liability

To the maximum extent permitted by law, Smart Circuit shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or data
• Business interruption
• Third-party platform changes or outages
• Results that differ from projections or estimates

Our total liability shall not exceed the amount paid for the specific service giving rise to the claim.

9. No Guarantees of Results

While we share case studies and typical results, these are examples and not guarantees. Results vary based on many factors including your industry, product, audience, and market conditions. We commit to delivering properly functioning systems, but we cannot guarantee specific business outcomes.

10. Third-Party Platforms

Our services integrate with third-party platforms (Meta, Shopify, Klaviyo, etc.). We are not responsible for changes to these platforms that may affect our systems. We will make reasonable efforts to update systems when platform changes occur, but significant changes may require additional work at additional cost.

11. Termination

For retainer services, either party may terminate with 30 days written notice. Upon termination, you will receive any work completed up to the termination date.

We reserve the right to terminate services immediately if you breach these terms, engage in illegal activity, or fail to pay fees when due.

12. Changes to Terms

We may update these terms from time to time. We will notify existing clients of any material changes. Continued use of our services after changes constitutes acceptance of the new terms.

13. Governing Law

These terms shall be governed by and construed in accordance with applicable laws. Any disputes shall be resolved through good-faith negotiation, and if necessary, binding arbitration.
